Public Offer Agreement

This document constitutes an official public offer (public offer agreement) by DLV Digital S.A. addressed to any individual or legal entity to enter into an agreement for the provision of document and data processing services through the DLV Documents service (document.dlv.do) under the terms and conditions set forth below.
1. Terms and Definitions
1.1. "Service Provider" — DLV Digital S.A., a company incorporated in the Republic of Panama, address: Avenida Samuel Lewis, Edificio Torre Global Bank, Piso 19, Oficina 1902, Panamá, República de Panamá. Email: DLV_support@proton.me. 1.2. "Customer" (User) — any legally capable individual or legal entity that has accepted the terms of this Offer. 1.3. "Service" — the online platform DLV Documents (document.dlv.do), providing document processing tools: conversion, editing, PDF compression, OCR, data cleaning, AI text processing, and other features. 1.4. "Offer" — this document, published at document.dlv.do. 1.5. "Acceptance" — full and unconditional acceptance of the Offer terms by performing the actions specified in Section 3. 1.6. "Services" — services for processing files and documents uploaded by the Customer through the Service.
2. Subject of the Agreement
2.1. The Service Provider undertakes to provide the Customer with document and data processing services through the Service, and the Customer undertakes to pay for the services in the manner and under the conditions set forth in this Offer. 2.2. The list and cost of services are published on the Service pricing page (document.dlv.do). Some tools are provided free of charge. 2.3. The Service is the proprietary development of the Service Provider. All rights to the software, algorithms, design, and trademarks belong to the Service Provider.
3. Acceptance of the Offer
3.1. This Offer is public and open to all. 3.2. Acceptance of the Offer is constituted by any of the following actions: (a) payment for Service features; (b) uploading a file for processing; (c) using any tool of the Service. 3.3. By accepting, the Customer confirms that they have read and fully agree with all terms of the Offer. 3.4. The agreement is deemed concluded from the moment of acceptance.
4. Description and Procedure for Service Delivery
4.1. The Service provides the following categories of services: — Free: format conversion (Word/Excel/PowerPoint to PDF and back), merging and splitting PDFs, PDF compression, QR code and barcode generation, email and tax ID validation, transliteration, encoding correction. — Paid: OCR (text recognition), AI tools (summarization, translation, classification, data extraction), PDF editing, data cleaning and normalization with AI. 4.2. To receive a service, the Customer uploads a file through the Service interface, selects the required processing parameters, and receives the result. 4.3. The service is deemed rendered at the moment the processing result is made available for download. 4.4. The service is digital. Physical delivery of goods is not provided.
5. Pricing and Payment
5.1. The cost of paid services is listed on the Service pricing page and may be changed by the Service Provider unilaterally. Price changes do not apply to already paid services. 5.2. Payment is made in Russian rubles (₽) or US dollars ($) through the payment system integrated into the Service. 5.3. The moment of payment is when funds are received by the Service Provider. 5.4. The payment model is pay-per-use: the Customer pays for each operation individually. Subscriptions may be introduced additionally. 5.5. Service prices include all applicable taxes.
6. Service Provider Rights and Obligations
6.1. The Service Provider undertakes to: (a) provide services of proper quality as described on the Service; (b) ensure Service operability; (c) maintain confidentiality of Customer data; (d) delete uploaded files within 1 hour after processing; (e) respond to Customer inquiries within 5 business days. 6.2. The Service Provider has the right to: (a) change service prices with publication on the Service; (b) suspend Service operations for maintenance; (c) refuse service if the Customer violates Offer terms; (d) engage third parties for service delivery (including AI providers).
7. Customer Rights and Obligations
7.1. The Customer undertakes to: (a) provide accurate information; (b) not upload malicious files; (c) not use the Service for processing illegal content; (d) not circumvent technical restrictions of the Service; (e) pay for paid services in a timely manner. 7.2. The Customer has the right to: (a) use the Service in accordance with its functionality; (b) contact support at DLV_support@proton.me; (c) request a refund in accordance with Section 8 of this Offer.
8. Refunds and Cancellation
8.1. Refunds are available in the following cases: (a) paid features have not been used and no more than 14 days have passed since payment; (b) the Service was unavailable for more than 24 consecutive hours due to the Service Provider's fault; (c) a technical error resulted in double charging. 8.2. To request a refund, the Customer sends a request to DLV_support@proton.me indicating the payment date and amount, and the reason for the request. 8.3. Refunds are processed using the same payment method within 10 business days of approval. 8.4. If the Customer has used paid features, the right to a refund is forfeited, except in cases specified in 8.1(b) and 8.1(c).
9. Intellectual Property
9.1. DLV Documents, including its source code, processing algorithms, design, logos, and trademarks, is the intellectual property of DLV Digital S.A. 9.2. The Service Provider is the developer and rights holder of the Service software. Use of third-party software (open-source libraries, AI APIs) is carried out under the respective licenses. 9.3. The Customer receives a limited, non-exclusive right to use the Service under this Offer. 9.4. The Customer retains all rights to uploaded files and processing results.
10. Confidentiality and Personal Data
10.1. Personal data processing is carried out in accordance with the Privacy Policy published on the Service. 10.2. Uploaded files are automatically deleted within 1 hour after processing. 10.3. The Service Provider does not share personal data with third parties, except as described in the Privacy Policy (AI provider — only when the Customer selects AI features).
11. Limitation of Liability
11.1. The Service is provided "as is". The Service Provider does not guarantee 100% accuracy of processing results. 11.2. The Service Provider is not liable for: (a) losses caused by inaccuracy of processing results; (b) temporary Service unavailability; (c) data loss due to the Customer's fault; (d) actions of third parties. 11.3. The Service Provider's maximum aggregate liability is limited to the amount paid by the Customer in the preceding 12 months.
12. Claims Procedure
12.1. All claims shall be submitted in writing to: DLV_support@proton.me. 12.2. The claim review period is 10 business days from the date of receipt. 12.3. The parties undertake to make every effort to resolve disputes through negotiation.
13. Governing Law and Dispute Resolution
13.1. This Offer is governed by the laws of the Republic of Panama. 13.2. All disputes not resolved through the claims procedure shall be submitted to the courts of the Republic of Panama.
14. Validity and Amendments
14.1. This Offer comes into effect upon publication on the Service and is valid indefinitely. 14.2. The Service Provider may amend the Offer terms unilaterally. Amendments take effect upon publication of the new version. 14.3. Continued use of the Service after amendments constitutes the Customer's acceptance of the updated Offer.
